Alternative Entity Law and Litigation

We provide legal advice, often as special Delaware counsel, on limited liability company, limited partnership and partnership matters. One of our partners, Craig Smith, is one of the principal drafters of Delaware's alternative entity statutes, including Delaware's limited partnership and limited liability company acts and Delaware's recently enacted version of the Revised Uniform Partnership Act. Craig serves on the editorial board and as the Delaware state reporter for State Limited Partnership Laws, published by Aspen Law & Business.

The firm has substantial experience in Court of Chancery litigation involving alternative entities and the enforcement of the statutory and contractual rights of limited partners and members of limited liability companies.  Our successful representation of limited partners in cases such as In re Paine Webber Limited Partnerships and Bond Purchase LLC. v. Patriot Tax Credit Properties, L.P. broke new ground in establishing the rights of limited partners to access partnership information.  In S.I. Management L.P. v. Wininger, we not only successfully protected the rights of limited partners but in the process created new law with respect to the interpretation and enforcement of limited partnership agreements.
